Royalties Collection
The artist shall earn royalties based on the net revenue collected by TuneTunnel from the sale, use, or distribution of Artist’s music. “Net revenue” is defined as the actual revenue received by TuneTunnel from third parties for the distribution of the Artist’s music and works after deducting any applicable fees, costs, taxes, or charges incurred in the process of distribution, collection, or otherwise. The Artist will then be able to redeem the percentage cut of the net revenue which amounts to the agreed total of 85% of net revenue unless otherwise specified in a separate agreement.
Originality and AI Usage Declaration
The Artist hereby represents and warrants that all musical works provided to TuneTunnel under this Agreement are original works created by the Artist, are the result of the Artist’s own creative efforts, and are not generated predominantly by artificial intelligence or any automated processes. The Artist confirms that these works do not infringe upon the copyrights, trademarks, or other intellectual property rights of any third party. The Artist assumes full responsibility for the originality and authenticity of the music and agrees to indemnify and hold harmless TuneTunnel against any claims, losses, liabilities, damages, expenses, and costs (including but not limited to attorney’s fees) arising from any breach of these representations and warranties.
Scope of Services
TuneTunnel hereby clarifies that the services provided under this Agreement are limited exclusively to distribution and other services expressly mentioned herein. TuneTunnel is responsible for making the Artist’s music available on specified platforms and ensuring proper distribution as agreed. However, the TuneTunnel shall not be responsible for additional promotion of the Artist’s music outside of these platforms, nor for securing any deals, engagements, or partnerships beyond the scope of distribution. The Artist acknowledges and agrees that responsibilities such as external promotion, marketing, and deal negotiations fall outside the purview of this Agreement and remain the Artist’s responsibility unless otherwise specified in a separate agreement.
Guarantees
The Artist acknowledges and agrees that TuneTunnel operates solely as a distribution entity and makes no representations, warranties, or guarantees regarding the success of any piece of work or artist. TuneTunnel’s services are limited to the distribution of music and related content to specified platforms and do not include any guarantee of success, popularity, revenue, or recognition of the Artist or their works. The success of the Artist’s music is dependent upon numerous factors beyond the TuneTunnel’s control, including but not limited to market trends, listener preferences, and promotional efforts by the Artist or third parties. Therefore, the TuneTunnel shall not be held liable for the commercial success or failure of any distributed works.
